Pinnacle Executive Career Partners Client Services Agreement

  • Thank you for choosing Pinnacle Executive Career Partners (“Company”) as your strategic partner. We are pleased to begin working with you (“Client”) and are committed to providing high-quality, customized services designed to support your professional positioning, advancement, and long-term success.


Company provides a combination of professional writing, career strategy, and executive coaching services. While certain services may involve defined deliverables or structured phases, coaching services are inherently collaborative, advisory, and client-driven in nature. As such, the pace, progress, and overall experience of coaching engagements may vary based on Client participation, preparedness, responsiveness, and execution of agreed-upon actions.


To ensure clarity and mutual understanding, please review this Client Agreement carefully. Payment for services constitutes Client’s acknowledgment that they have read, understood, and agreed to Company’s pricing, scope of services, process, and terms and conditions.


PROJECT DELAYS

Client acknowledges and agrees that submission of the completed Strategic Impact and Executive Leadership Brief, scheduling and completion of the required Client Discovery Session, and provision of any additional requested information are prerequisites for the commencement and continuation of all services, including but not limited to document preparation, LinkedIn profile optimization, and coaching services. These intake and participation requirements are foundational to Company’s ability to deliver services effectively. Any delay by Client in completing these steps may result in the project and/or coaching engagement being delayed, placed on hold, or terminated. If the project is not terminated, any rescheduling shall occur in accordance with Company’s existing project queue and calendar availability.


To maintain adherence to the Company’s project timeline and coaching schedule, Client shall submit all requisite project materials and complete the required Discovery Session within thirty (30) days from the date of project booking and receipt of the Strategic Impact and Executive Leadership Brief and scheduling link.


Unless otherwise agreed to in writing by both parties, failure by Client to provide timely Strategic Impact and Executive Leadership Brief responses, complete the Discovery Session, submit supporting documentation, complete required preparatory exercises, review drafts, or complete any other required actions within thirty (30) days from the date of documentation or request for information may result in the project and all associated services being placed on hold or terminated. Failure by Client to timely schedule, attend, or meaningfully participate in coaching sessions once coaching services have commenced or been scheduled may likewise result in services being placed on hold or terminated.


If a project is placed on hold and has not been terminated, a reinstatement/reactivation fee may be assessed for Company to re-commence work on the project and reallocate time on its calendar, including coaching availability. Restart/reactivation fees may be charged as follows:

· Greater than 30 days but less than 60 days: a 5% reinstatement/reactivation fee will be assessed 

· 60 days but less than 90 days: a 10% reinstatement/reactivation fee will be assessed

· 90 days but less than 120 days: 25% reimbursement fee will be assessed

· 120 days but less than 180 days: a 50% reinstatement/reactivation fee will be assessed

· 180 days but less than 270 days: a 75% reinstatement/reactivation fee will be assessed

· 270 days or longer: a 100% reinstatement/reactivation fee will be assessed


If Client fails to schedule and/or complete the required Discovery Session within ninety (90) days from the date the Strategic Impact and Executive Leadership Brief and scheduling link were provided by Company, the project may be deemed abandoned and cancelled. No refunds may be due or issued in such cases. If the Discovery Session is completed between thirty (30) and ninety (90) days, the reinstatement/reactivation fee schedule above may apply, and the project start date and coaching availability may be adjusted based on Company’s current workload and calendar capacity.


All reinstatement/reactivation fee percentages are based on the pricing in place at the time the project is reinstated/reactivated, not the original price that the Client was charged for their project.


This provision may not apply in the event of a documented medical or personal emergency affecting Client’s ability to perform their obligations; however, extended delays may require mutual written agreement regarding revised timelines, scope, or continuation of services.


PROJECT CANCELLATION BY CLIENT

Client acknowledges and understands that fees are for information-gathering, research, analysis, and the development of customized professional services. Payment covers tailored services, including but not limited to personal brand development, career strategy, professional writing, design, layout, editing and proofreading, finalization of career documents, and customized executive coaching and advisory services. All work performed is intellectual property and requires the allocation of professional time and strategic resources that cannot be recovered once committed.


Client further acknowledges and understands that once payment is made, should Client wish to cancel the project, cancellation fees shall apply as follows:

  • Cancellation after payment but before the Strategic Impact and Executive Leadership Brief is completed: A refund will be issued less any PayPal/Square transaction fees and a twenty-five percent (25%) cancellation fee.
  • Cancellation after work has begun but before delivery of the first draft of any documents or before the commencement of any coaching services: Seventy-five percent (75%) of the total project price shall be retained by Company. Any in-progress work or preparatory materials will not be provided to Client.
  • Cancellation after delivery of the first draft of any documents or after any coaching services have commenced: One hundred percent (100%) of the total project price shall be retained by Company.


For purposes of this Agreement, “commencement of coaching services” includes, but is not limited to, the completion of any coaching session, delivery of individualized strategic guidance, review of Client materials for coaching purposes, or provision of customized coaching-related feedback or preparatory work.


Notwithstanding the foregoing, failure by Client to schedule and/or complete the required Client Discovery Session within ninety (90) days of receipt of the Strategic Impact and Executive Leadership Brief and scheduling link may be treated as a Client-initiated non-compliance cancellation under this Agreement, and no refunds shall be due or provided.


WRITTEN DELIVERABLES — PROOFREADING, REVISIONS, AND EDITS

The following provisions apply exclusively to document-based writing services and do not apply to coaching, advisory, or strategic services.


Proofreading

Clients receive detailed proofreading instructions with document delivery. Clients are responsible for carefully reviewing their document or documents for accuracy and completeness. Unless other arrangements are made in writing, Clients must submit revisions by phone or email within seven (7) days from delivery of any document drafts.


Revisions and Edits

All writing services include up to two (2) rounds of revisions and a final quality check following initial document delivery. Revisions do not include the addition of new information. Company is not responsible for incorporating new content as part of the revision process. Any revisions that would result in a significant departure from the original draft provided shall be considered a new document and will incur additional fees.


FINALIZING PROJECT AND COMPLETION OF SERVICES

For document-based writing services, timely project completion requires Client to review all drafts, revisions, and final documents and to notify Company of any requested revisions or corrections within the timeframes outlined in this Agreement. Unless otherwise agreed to in writing, all written deliverables shall be deemed final thirty (30) days after delivery.


Company is not responsible for errors, inaccuracies, or misleading information in written deliverables that are not identified by Client prior to finalization of the project.


For coaching, advisory, or strategic services, completion of services occurs upon the delivery of the contracted number of coaching sessions, advisory engagements, or agreed-upon service term. Coaching services do not involve “final” documents, and the conclusion of coaching services does not imply ongoing access, continued availability, or additional services beyond the agreed scope unless otherwise specified in writing.


FINAL PROJECT DELIVERY GUARANTEE

Written Deliverables Timing (Delivery Guarantee)

The following delivery guarantees apply exclusively to document-based writing services.

A completed resume will be provided to Client within fourteen (14) calendar days from the date of the Client Discovery Session or from the date all additional requested information is provided to Company, whichever occurs later. Additional career collateral services purchased (including, but not limited to, cover letters, networking bios, board resumes or bios, and LinkedIn profile optimization documents) will be delivered within seven (7) calendar days from the date the resume is approved by Client.


If Client provides all requested information within the stated timeframes and contracted written deliverables are not delivered by Company within forty-five (45) business days from the date all requested information was provided, Company will refund the amount paid by Client for the undelivered written service(s), plus a five percent (5%) penalty. If Client purchases multiple services, any refund and penalty shall apply only to the specific written deliverable(s) not delivered.


Coaching Services Timing (No Delivery Guarantee)

Coaching, advisory, and strategic services are scheduled based on mutual availability and may occur concurrently with or following the completion of written deliverables, depending on the scope of services purchased. Coaching services are not subject to delivery guarantees tied to calendar days and are not refundable due to scheduling delays resulting from Client availability, responsiveness, or participation.


CONFIDENTIALITY

Maintaining confidentiality is one of Company’s highest priorities. All information shared by Client, whether orally, in writing, electronically, or through worksheets, discovery materials, coaching sessions, strategic discussions, consultations, or other communications, before, during, or after the completion of services shall be treated as confidential.


Company agrees not to disclose Client’s confidential information to any third party without Client’s consent, except as required by law. Confidential information includes, but is not limited to, personal data, professional history, career strategy, compensation details, organizational information, and any non-public information shared in the course of writing, coaching, advisory, or strategic services.


Notwithstanding the foregoing, Company reserves the right to create and use fictionalized, anonymized, or composite documents or examples for contest submissions, competitions, awards, educational purposes, marketing materials, website content, and publications, provided that such materials do not identify Client or disclose personally identifiable, proprietary, or confidential information. By accepting this Client Services Agreement, Client authorizes Company to use such fictionalized or anonymized materials without the need for additional written or verbal approval.


Confidentiality — Coaching Sessions, Notes, and Materials

Coaching sessions, strategic discussions, and advisory engagements are confidential and are not recorded by Company unless expressly agreed to in writing by both parties. Any notes, summaries, frameworks, or preparatory materials created by Company in connection with coaching services are intended for Client’s personal use and strategic reference only and do not constitute official records, transcripts, or guarantees of outcomes.


Company retains ownership of its coaching methodologies, frameworks, templates, and advisory materials. Client retains ownership of any personal information or materials provided by Client. Nothing in this Agreement grants Client ownership of Company’s proprietary coaching methods or materials beyond their use for Client’s individual engagement.


Use of Tools and Resources

The Company may utilize a variety of tools, software, resources, and methodologies in the completion of the Project and delivery of coaching, advisory, and strategic services. This includes but is not limited to AI, specialized software, digital platforms, coaching frameworks, analytical models, and other professional instruments deemed appropriate for the task at hand. The specific tools used may vary depending on the nature of the Project or coaching engagement and the Company’s professional judgment.


These tools, software, resources, and methodologies are employed to enhance efficiency, accuracy, and overall project outcomes and coaching effectiveness. They strengthen our ability to develop powerful, targeted value propositions by connecting your specific achievements to industry challenges, company initiatives, and market developments and to support informed strategic decision-making through coaching and advisory services. No personal identifying information (names, contact details, personal data) is ever uploaded to ensure maximum privacy protection. Coaching sessions themselves are not recorded, transcribed, or uploaded to third-party platforms unless expressly agreed to in writing by both parties.


Election Requirement: Client must make an election regarding the Company’s use of tools, software, resources, and methodologies described above by selecting one of three options (Full Professional Content, Anonymized Processing, or No AI Processing). The Client can make their choice known by adding a “1”, “2”, or “3” after their initials for this section.


Default Election: If no election is made by Client, Option 1 (Full Professional Content) will automatically become the default selection, thereby authorizing the Company to use all tools, software, resources, and methodologies described above while excluding all personal identifying information. If more than one option is selected, the least restrictive option selected will become the final election.


OPTION 1: FULL PROFESSIONAL CONTENT (Default)

· Includes: Work history, employers, universities, achievements

· Excludes: All personal identifying information

· Benefits: Comprehensive industry analysis, targeted value propositions aligning your experience with specific opportunities and deeper strategic insight during coaching engagements


OPTION 2: ANONYMIZED PROCESSING

· All identifying details removed (e.g., “[Fortune 500 Tech Company]” instead of actual names)

· Limitations: Reduced industry-specific analysis, less precise targeting, limited competitive positioning and reduced contextual depth during coaching


OPTION 3: NO AI PROCESSING

· No client information processed through AI platforms

· Limitations: Reduced pattern analysis, limited insight into industry trends and successful presentation strategies and reduced analytical support during coaching services


RELEASE FROM GUARANTEES / NO GUARANTEES OF OUTCOMES

Many Pinnacle Executive Career Partners Clients have achieved meaningful career progress, including securing new roles, advancing within their organizations, increasing visibility, or expanding into board, advisory, or consulting opportunities. However, Company does not guarantee specific outcomes, including but not limited to job offers, promotions, compensation levels, board appointments, consulting engagements, or other results as a result of investing in Company’s services.


Employment decisions, interview selection, hiring outcomes, promotions, compensation determinations, board appointments, and consulting engagements are made solely at the discretion of employers, organizations, boards, or other third parties. Written career documents, coaching, and advisory services represent only one component of a broader professional decision-making and selection process. Outcomes are influenced by numerous factors beyond Company’s control, including market conditions, organizational needs, competitive landscapes, timing, and Client engagement.


Company provides strategic guidance, professional expertise, and advisory support through writing, coaching, and related services. Company does not act as an employer, recruiter, placement agency, or guarantor of outcomes. Client remains solely responsible for decisions made, actions taken, and implementation of strategies discussed during the engagement.


Pinnacle Executive Career Partners works collaboratively with Clients. By purchasing services, Client agrees to participate actively in the process, which may include completing worksheets, providing information, engaging in coaching discussions, and performing suggested activities. The quality, accuracy, and completeness of information provided by Client directly impact the effectiveness of the services delivered.


LIMITATION OF LIABILITY

To the fullest extent permitted by law, Pinnacle Executive Career Partners’ total liability for any claim, loss, or damages arising out of or related to this Agreement or the services provided—whether based in contract, tort, negligence, or otherwise—shall be limited to the total fees paid by Client to Company for the specific services giving rise to the claim.


In no event shall Pinnacle Executive Career Partners be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of income, loss of business opportunities, reputational harm, or emotional distress, even if Company has been advised of the possibility of such damages.


This limitation of liability applies to all services provided, including professional writing, coaching, advisory, and strategic services.


NO LEGAL, FINANCIAL, OR TAX ADVICE

Company does not provide legal, financial, tax, or accounting advice. Any information, guidance, or discussion related to compensation, equity, contracts, negotiations, board service, or organizational matters is provided for general informational and strategic purposes only.


Client acknowledges that Company is not acting as an attorney, accountant, financial advisor, or fiduciary, and agrees to seek independent professional advice from qualified legal, financial, or tax professionals as appropriate before making decisions based on such matters.


INTELLECTUAL PROPERTY

All proprietary methodologies, frameworks, templates, tools, coaching models, processes, and materials developed or used by Pinnacle Executive Career Partners in connection with services provided under this Agreement remain the sole intellectual property of Company.


Client retains ownership of all personal information, career history, and materials provided by Client. Upon full payment, Client is granted a non-exclusive, non-transferable license to use final written deliverables and coaching-related materials for Client’s personal career and professional purposes only.


Client may not reproduce, distribute, sell, sublicense, or use Company’s proprietary materials for commercial purposes, training, or third-party use without prior written consent.


GOVERNING LAW AND VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding arising under or relating to this Agreement shall be brought exclusively in the state or federal courts located within the State of Florida, and the parties hereby consent to personal jurisdiction and venue therein.


FORCE MAJEURE

Neither party shall be liable for delays or failure to perform obligations under this Agreement due to events beyond reasonable control, including but not limited to acts of God, illness, natural disasters, power outages, technology failures, governmental actions, or other circumstances beyond the affected party’s reasonable control.


In such events, timelines may be reasonably adjusted, or services may be rescheduled or modified by mutual agreement.


ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, proposals, representations, or understandings, whether written or oral.


If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.


PAYMENT POLICIES

Full payment is required before any work on services begins. Services provided by Pinnacle Executive Career Partners are customized and tailored for each Client and may include professional writing, career strategy, executive coaching, and advisory services. As such, fees are generally nonrefundable once work has commenced, subject to the specific cancellation, refund, and delivery provisions outlined in this Client Agreement.


CLIENT SERVICES AGREEMENT SIGNATURE REQUIREMENT 

If Client elects to purchase a service or package from Pinnacle Executive Career Partners, Client will receive electronic communications from Company’s payment processor, including a detailed invoice and a separate email containing a secure link to electronically review and sign this Client Services Agreement.


Client is required to electronically sign the Client Services Agreement prior to the commencement of any services, including professional writing, coaching, advisory, or strategic services. No work will begin until the Agreement has been electronically signed and full payment has been received.
